For many companies it is important to dissolve, merge or demerge entities before the 31st of December. Therefore, we would like to draw your attention to the dates as set out below. This includes a view of the legal objection periods and the increased workload towards the end of the year at among others, the Dutch Chamber of Commerce. Due to this increased workload towards the end of the year, a longer processing time for requests should be taken into account.

Dissolution

If a legal entity, in order to complete a dissolution process, has to deregister from the trade register of the Dutch Chamber of Commerce before the 31st of December, we recommend to keep the following deadlines.

  • 13 October 2023

    Filing with the trade register of the Dutch Chamber of Commerce
  • 18 October 2023

    Publication daily newspaper
  • 19 December 2023

    End of objection period (two months)
  • 22 December 2023

    Receival of declaration of no-objection
  • 27/28 December 2023

    Final distribution/ closing of bank accounts
  • 29 December 2023

    Deregistration from the trade register of the Dutch Chamber of Commerce

Merger or demerger

In the event that a merger or demerger must be effective before the 31st of December, we recommend that you keep the folllowing deadlines.
